Welcome to 99Creative Design Studio. By engaging with our services, you (“Client”) agree to the following Terms and Conditions (“Agreement”). These terms govern your relationship with 99Creative Design Studio (“Company”, “We”, “Us”, or “Our”) in relation to the services listed below.

1. Services Offered

99Creative Design Studio provides the following professional services:

1. Brand Strategy & Identity – Includes brand discovery, positioning, naming, brand architecture, logo design, visual language, and brand guidelines.
2. Creative Design – Includes graphic design, illustrations, advertising creatives, packaging, and print design.
3. Digital Marketing & Social Media – Includes social media management, paid advertising, SEO/SEM, email marketing, and campaign management.
4. Web Design & Development – Includes UI/UX design, frontend and backend development, CMS integration, website maintenance, and responsive design.
5. Content Creation – Includes copywriting, photography, videography, blog writing, reels, short-form videos, and ad scripts.
6. Analytics & Optimization – Includes performance tracking, A/B testing, KPI analysis, and data-driven recommendations.

2. Engagement & Deliverables

• Services will be delivered based on written proposals, scope documents, or project plans mutually agreed upon.
• Revisions are limited to the number specified in the project scope. Additional changes will incur extra charges.
• Deliverables will be provided in standard industry formats unless otherwise agreed.

3. Payment Terms

• All services require a minimum 50% upfront payment unless stated otherwise.
• Final payment is due upon project completion or before final deliverables are released.
• Late payments beyond 7 days from the invoice due date are subject to a 5% monthly late fee.

4. Intellectual Property

• 99Creative Design Studio retains ownership of all raw source files (e.g., PSD, AI, Figma, editable code) unless agreed in writing.
• Final approved deliverables are transferred to the client with a non-exclusive, royalty-free, perpetual license for intended use.
• Use of our work without full payment or outside agreed scope is prohibited.

5. Client Responsibilities

• The client agrees to provide all required information, materials, approvals, and feedback in a timely manner.
• Delays caused by client-side inactivity beyond 14 days may result in project hold or cancellation.

6. Confidentiality

• Both parties agree to keep all confidential information exchanged during the engagement secure and undisclosed to third parties.
• This clause survives termination of the agreement.

7. Revisions, Delays, and Scope Creep

• Revisions are limited as per the agreed project scope.
• Requests outside the original scope will be quoted separately.
• Project delays caused by client-side hold-ups may lead to timeline extensions or reprioritization.

8. Cancellations and Refunds

• Projects cancelled before commencement will be refunded minus any administrative or consulting fees.
• Once work begins, refunds are not applicable.
• If the project is paused or terminated due to client inaction, all work done until that point is billable.

9. Limitation of Liability

• 99Creative Design Studio is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Maximum liability is limited to the total fees paid by the client for the service in question.

10. Termination

• Either party may terminate this agreement with 14 days’ written notice.
• Upon termination, all outstanding payments become due immediately, and all licensed content must be discontinued if not fully paid.

11. Governing Law

• These Terms are governed by the laws of [Insert Jurisdiction, e.g., India].
• Any disputes shall be subject to the exclusive jurisdiction of the courts located in [Insert Location].

12. Modifications

• 99Creative Design Studio reserves the right to update these Terms at any time. Clients will be notified of significant changes.
